Trust Registration Service

  • Understanding the nature of the trust: Identify whether the trust will be a public charitable trust or a religious trust, as each has different legal implications and registration requirements.
  • Selection of a name: Choose a unique and meaningful name for the trust that reflects its objectives and vision. There can be any name that is already previously for any Trust or NGO, because as according to the reason of registering with the same name that each Trust has different registration number, members, office and identity. Name must not be similar to any name of Government authority, commission, department, ministry or Government project according to Emblems and Names (Prevention of Improper Use) Act of India.
  • Board of Trustees: Decide and assemble Trustees that form a Board of Trustees, including a minimum of two trustees, who will be responsible for managing the trust’s affairs. Minimum three trustees are recommended for Trust to follow the necessary guidelines of future requirement of Government parameters applicable for Income Tax Exemption Registration, to get Government fund and to get FCRA and to be entitle for other eligibilities.
  • Drafting the Trust Deed: Prepare a comprehensive trust deed, outlining the trust’s objectives, rules and regulations, management structure, and financial administration. We prefer to prepare separate Trust Deed because it matters most for every future requirement it is related to any further registration of any kind of funding. Trust Deed is to be drafted in the Non Judicial Stamp Paper of certain amount depends on the requirements of the value and the concerned sub-registrar.

  • Receipt of registration certificate: Upon approval, the registrar will issue a registration certificate, signifying the legal status of the trust.
  • Obtain PAN Card: Apply for a Permanent Account Number (PAN) for the trust, which is necessary for opening bank account and Income tax-related certifications and transactions.
  • Open a bank account: You have to open a bank account in the name of the Trust to facilitate financial transactions.

Society Registration Service

  • Determination of the society’s purpose: List out your decided identified objectives and purpose of the society, which must be charitable, educational, scientific, or literary in nature.   • Decide desirous members for the General Body: You have to decide at least seven members to form a General body to register Society, who will be responsible for managing the society’s affairs.
  • Formation of the governing body: Assemble a governing body executive body, comprising at least seven official executive with designations and as executive members, who will be responsible for managing the society’s affairs and management. President or Chairman, General Secretary, Treasurer, Vice-President or Vice-Chairman, Joint Secretary and Executive members are the designations used for the Executive or Governing Body of Society.
  • Selection of a name: Choose a unique and meaningful name for the society that reflects its objectives and vision. If the name of Society is already registered from the concerned Registrar of the area, district or territory of the Society Registration Authority then you have to choose another name that is not previously registered.
  • Drafting the Memorandum of Association (MoA) and Rules and Regulations: Prepare the MoA, outlining the society’s objectives, registered office address, and names of the desirous general body members and executive designatories of governing body or executive body. Also, draft the Rules and Regulations, which govern the society’s internal administration and management.
  • Signing of the MoA and Rules and Regulations: Ensure that all governing body members sign the MoA and Rules and Regulations in the presence of a witness.
  • Submission of registration application with MOA and Rules and Regulations: Submit the MoA, Rules and Regulations, and other required documents, such as identification proofs of governing body members and address proof of the society’s registered office, to the office of the concerned office of the Registrar of Societies.
  • Payment of registration fees: You have to pay the applicable registration fees as determined by the registrar’s office.
  • Registration Number and Certificate: Upon approval, the registrar will issue a registration certificate, signifying the legal status of the society. The registration number of NGO is included in the registration certificate.
  • PAN Card: Apply for a Permanent Account Number (PAN) for the society in the concerned PAN card official agent office of Government recognized PAN card issuing agencies, that is required for bank account and for further grants and for tax exemption and related transactions.
  • Bank account: You have to Open a dedicated bank account in the name of the society to get funds and facilitate financial transactions.

Non-Profit Section 8 Company Registration Service

  • Obtaining a Digital Signature Certificate (DSC): Acquire a DSC for the proposed directors of the company, which is essential for signing electronic documents submitted to the MCA.
  • Obtaining a Director Identification Number (DIN): Apply for a DIN for each proposed director, which is a unique identification number mandatory for anyone appointed as a director in an Indian company.
  • Drafting the Memorandum of Association (MoA) and Articles of Association (AoA): Prepare the MoA, outlining the organization’s objectives and registered office address, and the AoA, which governs the organization’s internal administration and management.
  • Name approval necessary: Apply for name approval with the MCA by submitting the proposed name, along with the MoA and AoA.
  • Submission of the incorporation application: Submit the incorporation application, including the MoA, AoA, DSCs, DINs, and other required documents, to the MCA via the related form.
  • Payment of registration fees: You have to pay the applicable registration fees as applicable and decided by the MCA.
  • Certificate of Incorporation: Upon approval, the MCA will issue a Certificate of Incorporation along with MoA and AoA signifying the legal status of the Section 8 Non Profit Company.
  • Apply and get PAN and TAN: Apply for a Permanent Account Number (PAN) and Tax Deduction and Collection Account Number (TAN) for the company, which are necessary for bank account, fund transaction and income tax related transactions.
  • Bank account: In Section 8 Company Bank account is also required in the name of the company to facilitate financial transactions.

Income Tax Exemption under 80G Registration Service

  • 80G approval Certificate: Upon approval, the Income Tax Exemption Commissioner will issue 80G certificate, granting the NGO tax exemption status for donations received.
  • Maintain records and comply with reporting requirements: You have to keep accurate records of donations received and submit necessary reports to the Income Tax Department as required.

Income Tax Rebate under 12A Registration Service

  • Receipt of 12A approval: When the Income TAx Commissioner will issue a 12A certificate approval to applicant NGO for granting of tax exemption status for the income generated from its activities.
  • Maintain records and comply with reporting requirements: After getting 80G Registration you have to maintain accurate records of income-expenditure and have to submit necessary reports to the Income Tax Department as required.

FCRA Registration Service for foreign funding eligibility

If any Indian NGO wants to get foreign fund then it is necessary to get FCRA registration. We consult and enable NGOs to get FCRA to receive funds from foreign sources.   • Obtain a Unique Identification Number (UIN): Register the NGO on the NITI Aayog NGO Darpan portal and obtain a UIN, which is a prerequisite for the FCRA registration application.
  • Income Tax Returns and Financial statements: Income tax Returns with the audited financial statements for the last three years is required, which should demonstrate that the NGO has spent a minimum of INR 15 lakhs on its core social activities during the period of last three years.
  • Designate a dedicated FCRA bank account: Open a separate bank account with zero balance is required, specifically for receiving and managing foreign contributions, only at the Delhi Parliament branch of SBI bank to handle FCRA accounts. In this FCRA bank account only foreign funds can be deposited and transacted.
  • Complete the FCRA registration application: Have to fill out the FCRA registration application form (FC-3) available on the FCRA Services portal, providing the required details and attaching necessary documents.
  • Submission of the application: Have to submit the completed FC-3 form along with the required documents, such as the Trust Deed or MoA of AoA, Income Tax Return with audited financial statements, annual reports, details of the designated FCRA bank account and other required information and documents, on the FCRA Services portal.
  • Payment of application fees: There is certain applicable fees you have to pay that when you submit the application to get FCRA. That registration fees is as determined by the Ministry of Home Affairs (MHA).
  • Receipt of FCRA registration certificate: After approval, the MHA will issue the FCRA registration certificate with a unique registration number, signifying the NGO’s eligibility to receive foreign contributions. There are other certain requirements that NGOs have to follow for FCRA registration or renewal of FCRA registration certificate.
  • Maintain records and comply with reporting requirements: You have to maintain records and comply with reporting requirements. Once an NGO gets FCRA registration, it must maintain detailed records of all foreign contributions received or not received and comply with reporting requirements. The NGO must report any foreign contribution within ac certain times of receipt to the Ministry of Home Affairs, along with the details of the donor and the purpose of the contribution. The NGO must also file an annual return with the Ministry of Home Affairs, providing details of all foreign contributions received and utilized during the year. If no foreign fund received even then NGO must also have to file return of zero transaction to keep the continues applicable validity of the FCRA. In addition to the above information, it is important to note that FCRA registration is required for NGOs that receive foreign contributions or intend to receive them in the future. It is important to comply with all regulations and requirements set forth by the Ministry of Home Affairs in order to maintain eligibility for foreign funding.
